Software License

1. Definitions

"Licensor" means SAAS SEO AGENCY LLC, a US limited liability company.

"Licensee" or "you" means the person or organization that bought a license, or got the Software through a trial the Licensor approved. If you accept on behalf of an organization, you confirm you can bind it.

"Software" means the affiliate tracking software sold at affiliatetracking.co, including binaries, container images, source code the Licensor chooses to provide, documentation, and any updates you receive.

"Your Business" means you and the companies you control or that control you.

2. License grant

When you pay the license fee, the Licensor grants you a perpetual, worldwide, non-exclusive, non-transferable license to install and run the Software, on as many servers as you control, to run affiliate programs for Your Business.

You may run affiliate programs for more than one brand or product that Your Business owns.

If the Licensor gives you source code, you may modify it for your own use under this license. Your changes stay subject to this license.

3. What you may not do

You may not: (a) sell, rent, lend, sublicense, publish or share the Software, or your license key, with anyone outside Your Business; (b) offer the Software, or anything built on it, as a hosted, managed or white-label service to other companies; (c) use the Software to build or train a competing affiliate tracking product; (d) remove or get around license key checks, or remove copyright or license notices; (e) use the Software to break any law, including privacy, spam and consumer protection law.

Agencies may run the Software for a client only on the client's own license.

4. Updates

Your fee includes updates the Licensor releases in the 12 months after you pay. After that, you can keep using every version you received, forever. Updates after that period may need a new purchase.

5. Refunds

You can get a full refund within 14 days of paying. After a refund, this license ends and you must stop using the Software and delete your copies.

6. Ownership

The Licensor and its licensors own the Software and all intellectual property in it. You own your data. The Licensor gets no rights to the data you process with the Software.

Third-party open source components in the Software are licensed under their own terms, which are listed with the Software. Nothing here limits your rights under those licenses.

7. Feedback

If you send ideas or suggestions, the Licensor may use them freely, with no obligation to you.

8. Termination

This license ends automatically if you break it and don't fix the breach within 30 days of written notice. When it ends, you must stop using the Software and delete your copies. Sections 6 and 9 to 12 survive.

9. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT THE LAW ALLOWS. FRAUD RULES AND HOLDS ARE A DECISION AID. YOU DECIDE WHICH COMMISSIONS TO PAY, HOLD OR REJECT.

10. Limit of liability

TO THE EXTENT THE LAW ALLOWS, THE LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, COMMISSIONS OR DATA. THE LICENSOR'S TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS BEFORE THE CLAIM.

11. Export and law

You'll follow US export control and sanctions law when using the Software.

12. General

This license is governed by the laws of the State of New York, USA, without regard to its conflict of law rules. The state and federal courts in New York County, New York, have exclusive jurisdiction. You may not transfer this license without the Licensor's written consent, except with the sale of the business that uses it. If a part of this license can't be enforced, the rest still applies. This license, with the Terms of Service at affiliatetracking.co/terms, is the whole agreement about the Software.
